Amy J. Mastrobattista is a shareholder at
the firm with a focus in two areas: transactional business law and technology
licensing and transfer.
In connection with her transactional business practice, Ms. Mastrobattista has
successfully closed the purchase and sale of numerous businesses. These
acquisitions range from small cash deals for closely held family businesses to
large mergers of public companies.
Ms. Mastrobattista also has extensive experience structuring both angel and late
stage venture-based financing, representing both venture capitalists and
portfolio companies. These financings range from simple Rule 504 private
placements of common stock to Rule 506 offerings involving multi-layered
convertible debt instruments and complex recapitalizations.
With respect to her technology licensing and transfer practice, Ms.
Mastrobattista has prepared and negotiated software licenses across the
technology spectrum including licenses for data management and storage
programs, cellular phone applications, digital music downloads, medical devises
and diagnostic tools and human resources programs. She has also negotiated and
closed development, distribution, publishing and partnering deals including
cross border transactions.
Ms. Mastrobattista represents both public and emerging companies across a wide
range of industries including digital media, business and healthcare software
applications, semiconductors, e-commerce, chemical engineering, life sciences, management
consulting, book publishing, retail and restaurants.
